Terms and conditions

Scope

These terms apply to DontPanicLabs’ services: website creation, SEO, automation, custom software, a dedicated developer, maintenance and hosting. A written quote may depart from these terms; if so, it takes precedence over them.

Quote and order

Every project is the subject of a written quote at a fixed price. The order is confirmed by written acceptance of the quote and payment of the deposit.

Prices and payment

Prices are public, in Swiss francs and excluding tax; VAT is added if it applies. Unless stated otherwise in the quote, projects are paid 50% on order and 50% on launch. Above CHF 10,000, payment is made in three instalments: 30% on order, 40% at the midpoint and 30% on launch. Subscriptions are billed every month. Invoices are payable within the time they state.

Timelines

The timelines announced are indicative. They depend on the client providing content and approvals; the schedule is set together at the start.

Collaboration

The client provides the content, access and approvals needed for the project, within the agreed timelines.

Subscriptions

Monthly SEO is taken out for a minimum of three months, then continues month to month. Maintenance and hosting have no minimum term and can be cancelled for the end of any month. The dedicated developer service follows the commitment period chosen in the quote.

Intellectual property

The client receives a licence to use the deliverables; the transfer of rights is the subject of a separate agreement. The domain name, the content provided by the client, their data and their accounts remain theirs.

Personal data

Data is processed in accordance with the Swiss Federal Act on Data Protection (FADP), as described in the privacy policy.

Liability

DontPanicLabs is liable for direct damage caused by a fault, up to the amount of the order concerned, except in the case of intentional misconduct or gross negligence.

Governing law and jurisdiction

Swiss law applies. The place of jurisdiction is Vevey, subject to any mandatory jurisdiction provided for by law.
